The Management Board of Grupa Pracuj S.A. (the “Company”) informs that on May 28, 2025 received from the Company’s shareholder – Frascati Investments sp. z o.o. (the “Shareholder”) notification of appointment, in exercise of the personal right vested in the Shareholder pursuant to § 14(2)(a) of the Company's Articles of Association, of:

1. Mr. Maciej Artur Noga as the Chairman of the Supervisory Board of the Company of the new term of office;
2. Mr. Wojciech Robert Stankiewicz as a Member of the Supervisory Board of the Company for the new term of office, and
3. Mr. Mirosław Bogusław Stachowicz as a Member of the Supervisory Board of the Company for the new term of office.

In the attachment, the Company's Management Board provides the resumes of the aforementioned members of the Company’s Supervisory Board of the new term of office, including information on their education, qualifications and positions previously held, along with professional history, as well as indicating other activities performed outside the Company’s enterprise.

According to the representations made, the activities performed by the aforementioned members of the Company’s Supervisory Board of the new term of office do not compete with the function to be performed by each of them in the Company. In addition, none of them participates in a competitive company towards the Company as a partner in a civil partnership, partnership or capital company nor participates in another competitive legal entity as a member of its body. Also, they are not entered in the Register of Insolvent Debtors maintained pursuant to the Act on the National Court Register.
