The Management Board of Grupa Pracuj S.A. with its registered office in Warsaw (the “Company”) informs about receipt from the Company’s shareholder – TCV Luxco Perogie S.à. r.l. (the “Shareholder”) of a notification on the exercise of the personal right vested in the Shareholder in accordance with § 14(3) of the Company's Articles of Association, pursuant to which:

(i)         effective as of 31 May 2026 Mr. John Doran was dismissed from his position as a member of the Company’s Supervisory Board, and

(ii)        effective as of 1 June 2026 Mr. Muz Ashraf was appointed to the position of member of the Company’s Supervisory Board for the current joint term of office.

The reasons for Mr. John Doran's dismissal were not provided.

Together with this report the Company's Management Board provides the biographical note of Mr. Muz Ashraf received from the Shareholder.

According to the representations made, the activities performed by Mr. Muz Ashraf do not compete with the function to be performed by him in the Company. In addition, Mr. Muz Ashraf does not participate in a competitive company towards the Company as a partner in a civil partnership, partnership or capital company and does not participate in another competitive legal entity as a member of its body. Also, he is not entered in the Register of Insolvent Debtors maintained pursuant to the Act on the National Court Register.
